1. Acceptance of Terms

By accessing or using Wakaty ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

Wakaty is an AI-powered scheduling platform that provides:

• Online appointment scheduling and booking
• Calendar integration with Google Calendar and Microsoft Outlook
• Video conferencing integration (Google Meet, Zoom)
• Automated email notifications and reminders
• QR code generation for contact sharing
• AI-powered meeting preparation (Pro plans)
• Team scheduling and collaboration features
• Embeddable booking widgets

3. Account Registration

To use certain features of the Service, you must register for an account:

• You must provide accurate and complete information during registration
• You are responsible for maintaining the security of your account credentials
• You must notify us immediately of any unauthorized use of your account
• You may not use another person's account without permission
• You must be at least 13 years old to create an account

4. Subscription Plans & Billing

Wakaty offers free and paid subscription plans:

• Free Plan: Limited features with usage caps as described on our pricing page
• Pro Plan: Enhanced features with monthly or annual billing
• Enterprise Plan: Custom pricing with dedicated support

For paid plans:

• Billing occurs at the start of each billing period (monthly or annually)
• All fees are non-refundable except as required by law or stated in these Terms
• We may change pricing with 30 days' notice to existing subscribers
• Failure to pay may result in suspension or termination of your account
• You can cancel your subscription at any time; access continues until the end of the billing period

5. Free Trial

Pro plans include a 14-day free trial. During the trial, you have full access to Pro features. You will not be charged until the trial ends. You may cancel at any time during the trial without being charged. If you do not cancel, your subscription will automatically convert to a paid subscription.

6. Refund Policy

If you are not satisfied with Wakaty Pro, you may request a full refund within 14 days of your first payment. To request a refund, contact us at support@wakaty.com. Refunds for subsequent billing periods are not available except as required by law.

7. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe on the rights of others
• Send spam or unsolicited communications
• Distribute malware or harmful content
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Use the Service for illegal or fraudulent purposes
• Collect personal information about other users without consent
• Impersonate another person or entity
• Use automated systems to access the Service without our permission

8. Calendar Integration

When you connect your calendar:

• You authorize Wakaty to access your calendar data as described in our Privacy Policy
• We will only access the minimum data necessary to provide the Service
• You can disconnect your calendar at any time
• You remain responsible for the accuracy of your calendar data
• We are not liable for any scheduling conflicts caused by inaccurate calendar data

9. Booking & Cancellation

Regarding bookings made through Wakaty:

• You are responsible for honoring bookings made through your booking page
• You may set your own cancellation and rescheduling policies
• We are not responsible for disputes between you and your guests
• We do not guarantee attendance at scheduled meetings
• You are responsible for ensuring your availability is accurate

10. Intellectual Property

The Service and its original content, features, and functionality are owned by Wakaty and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

• You retain ownership of content you upload or create through the Service
• You grant us a license to use, store, and display your content to provide the Service
• You may not copy, modify, or distribute our Service without permission
• Our trademarks and branding may not be used without prior written consent

11. Embed Widget Usage

If you embed our booking widget on your website:

• Free users must display the Wakaty watermark/branding
• Paid users may remove branding as included in their plan
• You may not modify the embed code to remove attribution without a paid plan
• You are responsible for ensuring the embed complies with your website's terms

12. API Usage

If you access our API (Enterprise plans):

• You must comply with our API documentation and rate limits
• You may not use the API to compete directly with Wakaty
• We may suspend API access for misuse or excessive requests
• API access is subject to separate terms as specified in our API documentation

13. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform maintenance, updates, or experience outages that affect availability. We will make reasonable efforts to notify users of planned maintenance in advance. We are not liable for any damages resulting from service interruptions.

14. Limitation of Liability

To the maximum extent permitted by law, Wakaty and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or other intangible losses, resulting from your use or inability to use the Service, regardless of whether we have been advised of the possibility of such damages.

15. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.

16. Indemnification

You agree to indemnify and hold harmless Wakaty and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of another party.

17. Termination

We may terminate or suspend your account and access to the Service:

• For violation of these Terms
• For non-payment of fees
• For conduct that we believe is harmful to other users or us
• At our sole discretion with reasonable notice

Upon termination, your right to use the Service will immediately cease. You may request export of your data within 30 days of termination.

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Nigeria, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the courts of Nigeria.

19. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes become effective constitutes your acceptance of the new Terms.

20. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms remain in full force and effect.
